Terms of Service
These Terms govern engagements with Hubzoid. They are intended to be read alongside a signed Statement of Work for any paid engagement. The marketing site at hubzoid.com is provided for informational purposes; using the site means accepting these Terms.
Definitions
Customer means the entity that engages Hubzoid. Hub means the deployment of world models, agents, and runbooks delivered to the Customer. SOW means a Statement of Work signed between the parties.
Engagement and scope
Each engagement is governed by a signed SOW that defines deliverables, timeline, and fees. These Terms apply to every SOW between the parties unless that SOW expressly modifies them.
Deliverables and intellectual property
World models, agent definitions, and runbooks authored for the Customer during an engagement become Customer property at handover.
Hubzoid retains ownership of its general methodology, frameworks, and any reusable components that are not Customer-specific.
Each party retains its pre-existing intellectual property.
Fees and retainer
Engagement fees are set in the SOW. Optional post-handover retainers are billed monthly in advance and may be cancelled by the Customer on thirty days notice. There is no auto-renewal.
Warranties
Hubzoid will perform engagement work in a professional manner consistent with industry practice. Outputs of language models inside the hub are probabilistic; Hubzoid does not warrant that any model output is accurate, complete, or fit for a specific purpose without Customer review.
Liability cap
To the maximum extent permitted by law, the total liability of either party arising out of or relating to an engagement is capped at the fees paid under the relevant SOW in the twelve months preceding the claim. Neither party is liable for indirect, incidental, or consequential damages.
Indemnity
Each party will defend and indemnify the other against third-party claims arising from its own breach of these Terms or its own gross negligence or wilful misconduct, subject to the liability cap above.
Confidentiality
Each party will protect the other's confidential information using at least the same degree of care it uses for its own confidential information, and will not use it except to perform under the engagement.
Term and termination
Each engagement runs for the term set in the SOW. Either party may terminate for material breach not cured within thirty days of written notice. Sections that by their nature should survive termination (confidentiality, IP, liability) survive.
Governing law
These Terms are governed by the laws of India. Disputes are subject to the exclusive jurisdiction of the courts located in the Customer-and-Hubzoid-agreed venue set in the SOW, or absent such agreement, the courts of Bengaluru.
Notices
Notices to Hubzoid go to contact@hubzoid.com and to the address provided in the SOW. Notices to Customer go to the contact set in the SOW.
Miscellaneous
If any provision is found unenforceable, the remainder stays in effect. These Terms together with the SOW form the entire agreement. They may only be amended in writing signed by both parties.
